1. Acceptance
By creating an Interface365 account or using the Service, you ("Customer," "you") agree to these Terms of Service. If you're agreeing on behalf of a company, you represent that you have the authority to bind that company to these Terms.
The Service is provided by iface LLC, the parent company behind the Interface365 product ("Interface365," "we," "us," "our").
2. Definitions
- Service — the Interface365 customer relationship management platform, including the web application, REST API, webhooks, and related documentation
- Customer — the individual or company that has registered an account or executed an Order Form
- Customer Content — all data, records, files, and information you upload to or create within the Service (your leads, contacts, deals, projects, quotes, tasks, files, notes, activities)
- Subscription — a paid plan (Starter, Professional, or Business) with associated seat count and billing period
- Trial — the 14-day free trial offered to new accounts
- End-User — any individual you invite to your workspace as a teammate
3. Your account
You are responsible for:
- Maintaining accurate account information
- Keeping your authentication credentials secure
- All activity that occurs under your account or any End-User you invite
- Complying with all applicable laws when using the Service
- Configuring per-record visibility, role-based permissions, and team membership in a manner consistent with your obligations to your own customers
We use Firebase Authentication for sign-in. Lost credentials can be recovered via your linked email; we cannot recover lost accounts whose linked email is itself compromised.
4. Subscription, billing & free trial
4.1 Free trial
New accounts include a 14-day free trial with full Professional-plan features. No credit card is required at signup. We'll email you 7 days before, 1 day before, and on the day of trial expiration. The trial ends automatically; service does not auto-convert to a paid plan unless you choose one.
4.2 Paid plans
After trial, you may select Starter ($19/seat/month), Professional ($49/seat/month), or Business ($99/seat/month), billed monthly or annually. Annual billing receives the discount listed on /pricing.
4.3 Auto-renewal
Subscriptions renew automatically at the end of each billing period. You may cancel at any time in Settings → Billing. Cancellation takes effect at the end of the current billing period — you keep access until then, and Customer Content remains available for export per §10.3.
4.4 Refunds
We do not offer prorated refunds for partial billing periods. Annual subscriptions canceled mid-term receive no refund for the unused portion. We will refund duplicate charges, billing errors, or charges resulting from our service failures, promptly upon request.
4.5 Plan changes
You can upgrade or downgrade your plan at any time. Upgrades are prorated and charged immediately. Downgrades take effect at the start of the next billing period. Seat additions are billed prorated for the current period.
4.6 Late payment
If a payment fails, Stripe will retry for up to 14 days. If still unpaid, your account moves to past_due status — you retain read access but cannot create new records or invite users. After 30 days past-due, the account is suspended; access can be restored upon successful payment.
4.7 Taxes
Listed prices are exclusive of applicable sales tax, VAT, GST, or other taxes, which will be added where required.
5. Customer Content & ownership
5.1 You own your data
Customer Content is yours. We do not claim any ownership over it. You grant us a limited, worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content solely to provide the Service.
5.2 Export anytime
You can export Customer Content at any time, in CSV, JSON, or via REST API. Even after account termination, we provide a 90-day export window before permanent deletion (see §10.3).
5.3 Data Processing Agreement (DPA)
When the data you store in our CRM includes personal information about your end-customers (e.g., contact emails), you are the Data Controller and we are the Data Processor under GDPR Article 28. A Data Processing Agreement is incorporated by reference and is available on request from hello@interface365.ai.
5.4 We don't use your data
We do not use Customer Content for:
- Advertising or marketing to your contacts
- Training AI or machine-learning models
- Sharing with any third party (except as required to provide the Service or by law)
- Aggregated analytics that include identifiable Customer Content
6. Acceptable use
You may not:
- Upload illegal content or use the Service for illegal purposes
- Use the Service to spam, phish, harass, or violate the rights of any individual
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
- Circumvent rate limits, plan caps, security controls, or per-record visibility settings
- Use the Service to build, train, or operate a competing CRM product
- Resell the Service or sublicense access without a written reseller agreement
- Upload malicious code, viruses, or files designed to harm our systems or other users
- Use the Service in violation of export controls or sanctions laws
We reserve the right to suspend accounts that violate this section, with notice when reasonably possible. For clear cases of abuse, immediate suspension is possible.
7. Service availability
The Service is provided "AS IS" and "AS AVAILABLE." We currently do not offer a contractual Service Level Agreement (SLA). We aim for high availability and will publish status when our public status page is live. Scheduled maintenance is announced in advance via in-app notification and email.
Customers requiring contractual SLAs should contact us before signing.
8. Confidentiality
Each party will protect the other's confidential information with the same degree of care it uses to protect its own confidential information, and in any case, reasonable care. Customer Content is treated as Confidential Information of the Customer.
9. Intellectual property
Interface365 retains all rights, title, and interest in the Service, including all software, design, brand, trademarks, and documentation. You retain all rights, title, and interest in Customer Content. No transfer of ownership is implied by these Terms.
Feedback you provide about the Service may be used by us without obligation or compensation.
10. Term & termination
10.1 Termination by you
You may cancel your subscription at any time in Settings → Billing. Cancellation takes effect at the end of the current billing period.
10.2 Termination by us
We may terminate or suspend your account if:
- Payment fails and remains unpaid for more than 30 days
- You materially breach these Terms
- Required by law, court order, or regulatory authority
- Continued operation poses a security risk to other customers
Except for clear abuse or legal compulsion, we'll provide at least 30 days' notice before termination.
10.3 Effect of termination
After termination:
- Your team's access to the Service ends
- We retain Customer Content for 90 days, available for export on request
- After 90 days, Customer Content is permanently deleted
- You remain responsible for any unpaid fees through the date of termination
11. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms or applicable law; (b) Customer Content that infringes third-party rights; or (c) any breach by you of your obligations to your end-users.
14. Governing law & disputes
These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict-of-laws principles. Disputes arising under these Terms will be resolved exclusively in the state and federal courts located in Virginia, except where applicable consumer-protection laws require otherwise.
15. Modifications
We may update these Terms from time to time. Material changes will be communicated to all customers via email at least 30 days before they take effect. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes. The "Last updated" date at the top of this page reflects the most recent revision.
16. Entire agreement
These Terms, together with our Privacy Policy and any Data Processing Agreement executed between us, constitute the entire agreement between you and Interface365 regarding the Service, superseding any prior agreements or communications. If any provision is held unenforceable, the remaining provisions remain in full effect.
